Welcome to OHS Social (the "Service," "we," "us," or "our"). These Terms of Service ("Terms") are a binding agreement between you and OHS Social governing your access to and use of the Service. Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility - 18+ Only

You must be at least 18 years old to use this Service. By registering, you represent and warrant that you are 18 years of age or older. This is an adults-only platform. We do not knowingly permit anyone under 18 to create an account, and any account found to belong to a person under 18 will be terminated and its data deleted. You also represent that you are not barred from using the Service under the laws of your jurisdiction and that you are not located in a country subject to a applicable embargo where use of the Service would be prohibited.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use or security breach. We are not liable for any loss or damage arising from your failure to safeguard your credentials. We may refuse, suspend, or cancel accounts at our discretion, including for the use of one person operating multiple accounts to evade enforcement.

4. Content and Conduct

You are solely responsible for all content you post, upload, stream, transmit, link to, or otherwise make available ("Content"). You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to share your Content and that it does not violate any law or third-party right. You agree not to post Content or engage in conduct that: is illegal, fraudulent, harassing, hateful, threatening, defamatory, obscene, or invasive of privacy; sexually exploits, endangers, or depicts minors in any way; infringes intellectual property or publicity rights; contains malware, spam, or deceptive or automated activity; harvests or scrapes data; impersonates any person or entity; or interferes with or disrupts the Service or its security. We may remove Content and suspend access for any violation, but we are under no obligation to monitor Content and do not guarantee that we will.

5. License to Your Content

You retain ownership of your Content. By posting Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and transmit that Content solely as needed to operate and provide the Service. This license ends when you delete your Content or your account, except to the extent the Content has been shared with others who have not deleted it, or where retention is required by law or for legitimate backup, security, or legal purposes.

6. Rooms, Hosts, Admins and Moderators

The rooms you run are YOUR responsibility. If you create, own, host, administer, or moderate a chat room, cam room, or any other user-run space on the Service, you are solely responsible for that space, including the conduct of everyone in it, the Content shared in it, and the enforcement of these Terms and all applicable law within it.

As a room owner, admin, or moderator you agree to: enforce these Terms and applicable law within your room; promptly remove, mute, kick, or ban participants who post illegal, harassing, hateful, infringing, or otherwise prohibited Content once you become aware of it; verify, to the extent you are able, that participants meet the 18+ requirement and remove anyone you know or reasonably believe to be under 18; never misuse room tools (muting, kicking, banning, role assignment, recording, or any other feature) to harass, retaliate against, impersonate, stalk, or unlawfully discriminate against anyone; and never knowingly permit, encourage, or facilitate any activity that violates these Terms. Granting another user admin or moderator privileges does not relieve you of responsibility for your room.

Rooms run by other users are not operated, endorsed, monitored, or controlled by us. We do not pre-screen activity in user-run rooms. To the fullest extent permitted by law, we are not responsible or liable for the conduct of any room owner, admin, moderator, or participant; for any Content shared in a user-run room; or for any harm, loss, or dispute arising out of or related to a room operated by another user. Your decision to enter, participate in, or rely on any user-run room is at your own risk.

7. Intellectual Property - DMCA and Copyright

We respect intellectual property rights and expect users to do the same. If you believe Content on the Service infringes your copyright, you may send a notice under the Digital Millennium Copyright Act ("DMCA") to our designated agent at support@ourhangoutspace.com. Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on the owner's behalf. We will respond to valid notices by removing or disabling access to the allegedly infringing material and may notify the user who posted it. Users may submit a counter-notice as permitted by the DMCA. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers. All OHS Social names, logos, and marks are our property and may not be used without permission.

8. Payments, Tokens and Virtual Items

The Service may offer tokens, virtual items, memberships, or other paid features. Unless stated otherwise: all purchases are final and non-refundable except where required by law; tokens and virtual items have no cash value, are not legal tender, cannot be redeemed for real money except through features we expressly provide, and may not be sold, transferred, or exchanged outside the Service; and we may set, change, or remove pricing, availability, and the features or value of tokens and virtual items at any time. Payments may be processed by third-party providers (such as PayPal) under their own terms and privacy policies, and you agree to those terms when you transact. You are responsible for any taxes associated with your purchases. Where seller or payout features are offered, you are responsible for the accuracy of your payout details and for any taxes owed on amounts you receive, and we may apply commissions, minimum thresholds, holds, or reversals as described in the relevant feature or to address fraud or chargebacks. If you initiate a chargeback or dispute a charge in bad faith, we may suspend or terminate your account and reverse associated credits.

9. Third-Party Services and Links

The Service may contain links to or integrations with third-party websites, services, or content that we do not control. We are not responsible for and do not endorse any third-party services, and your use of them is at your own risk and subject to their terms.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms or applicable law. You may stop using the Service and delete your account at any time. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute provisions) will survive.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any Content or data will be accurate, preserved, or never lost. You are responsible for maintaining your own backups where appropriate. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR OWNERS, OPERATORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY USER CONTENT, ANY USER-RUN ROOM, ANY INTERACTION BETWEEN USERS, ANY UNAUTHORIZED ACCESS TO YOUR DATA, OR ANY SERVICE INTERRUPTION OR DATA LOSS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless OHS Social and its owners, operators, and affiliates from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your Content; your use of the Service; any room you operate, moderate, or participate in; your violation of these Terms; or your violation of any law or any right of a third party.

14. Dispute Resolution and Arbitration

Please contact us first at support@ourhangoutspace.com to seek an informal resolution; most concerns can be resolved this way. Except where prohibited by law, you and we agree that any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court where eligible. You and we agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class or representative action. Where arbitration is not permitted or is waived, disputes will be brought exclusively in the courts located in the jurisdiction identified in the Governing Law section, and you consent to personal jurisdiction there. Any claim must be brought within one year after it arises, to the extent permitted by law.

15. Governing Law

These Terms are governed by the laws of the State of Connecticut, United States, without regard to its conflict-of-laws rules, and applicable U.S. federal law. Subject to the Dispute Resolution section, the exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Connecticut, and the parties consent to the jurisdiction of those courts. The Service is controlled and operated from the United States, and we make no representation that it is appropriate or available in other locations.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above, and material changes may be announced through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

17. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any right or provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or employment relationship between you and us.
